These Terms of Service ("Terms") govern your access to and use of the BidSyncPro website, applications and services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The service

BidSyncPro aggregates publicly available government procurement information — including federal opportunities from SAM.gov and state, city, county and school-district solicitations from official public portals — and provides search, email alerts and AI-assisted tools on top of that data.

2. No affiliation with government agencies

BidSyncPro is an independent service. We are not affiliated with, endorsed by or sponsored by any government agency, including the U.S. General Services Administration or SAM.gov. Solicitation content belongs to the issuing agencies.

3. Accuracy of information

Procurement data is collected from public sources and refreshed regularly, but agencies may amend, cancel or re-post solicitations at any time. The Service is provided for convenience and research. Always verify dates, requirements and documents against the official source posting before preparing or submitting a bid. We do not guarantee the accuracy, completeness or timeliness of any listing.

4. Accounts

You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account. You must be at least 18 years old and use the Service only for lawful business purposes.

5. Plans, billing and cancellation

• The Free plan includes bid search, browsing and one saved search with daily email alerts.
• Paid plans (Premium and Team) are recurring subscriptions billed in advance through Stripe. Current prices, billing intervals and what each plan includes are shown at checkout and on the pricing page. Team plans may be billed per seat.
• Auto-renewal. Subscriptions renew automatically at the end of each billing period at the then-current price until you cancel. By subscribing you authorize these recurring charges.
• Cancellation. You can cancel anytime from your account page (or the Stripe billing portal). Cancellation stops future renewals; your paid features remain active through the end of the period you have already paid for.
• Refunds. Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial billing periods, unused time, or features not used. If you believe you were charged in error, contact support@bidsyncpro.com within 30 days and we will review it in good faith.
• Price changes. We may change prices; we will give notice before a change applies to your next renewal, and continuing your subscription after that constitutes acceptance.

6. AI-generated content

Proposal drafts, chat answers and other AI outputs are generated automatically and may contain errors or omissions. They are a starting point, not professional, legal or contracting advice. You are solely responsible for reviewing, editing and verifying any AI output before using it, including before submitting a proposal to any agency.

7. Acceptable use

• No scraping, bulk downloading or reselling of the Service's data or content.
• No sharing account credentials or circumventing plan limits or paywalls.
• No interfering with the Service, probing its security or using it to violate any law or third-party terms.

8. Intellectual property

The Service, including its software, design and branding, is owned by BidSyncPro and its licensors. We grant you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes. Government solicitation content remains subject to the issuing agency's terms.

9. Termination

You may stop using the Service at any time. We may suspend or terminate accounts that violate these Terms or create risk for the Service or other users. Upon termination your right to use the Service ends, but sections that by their nature should survive (including disclaimers and liability limits) survive.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR THAT ANY LISTING IS COMPLETE OR CURRENT.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIDSYNCPRO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR BUSINESS OPPORTUNITIES (INCLUDING MISSED BID DEADLINES OR UNSUCCESSFUL PROPOSALS), ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. Indemnification

You agree to defend, indemnify and hold harmless BidSyncPro and its officers, employees and agents from and against any claims, damages, liabilities, losses and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Service; (b) the content, data or inputs you submit (including company-profile data and AI inputs); (c) any proposal, bid or submission you make to any agency; or (d) your violation of these Terms or any applicable law or third-party right.

13. Governing law

These Terms are governed by the laws of the State of [GOVERNING-LAW STATE], without regard to its conflict-of-law rules. Subject to the arbitration section below, you and BidSyncPro consent to the exclusive jurisdiction and venue of the state and federal courts located in [COUNTY, STATE] for any dispute not subject to arbitration.

14. Dispute resolution; binding arbitration; class-action waiver

Please read this section carefully — it affects your legal rights. Except for small-claims matters and requests for injunctive relief, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration, not in court. We first ask that you contact us to try to resolve the matter informally within 30 days.

Arbitration will be administered by a recognized arbitration provider under its consumer rules, and judgment on the award may be entered in any court with jurisdiction. You and BidSyncPro agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person's claims.

30-day opt-out. You may opt out of this arbitration agreement by emailing support@bidsyncpro.com within 30 days of first accepting these Terms, stating your name and that you opt out of arbitration. Opting out does not affect any other part of these Terms.

15. General

If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect (severability). These Terms, together with the Privacy Policy and Cookie settings, are the entire agreement between you and BidSyncPro regarding the Service. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.

16. Changes to the service or terms

We may update the Service and these Terms from time to time. Material changes will be posted on this page with an updated date; continued use after changes take effect constitutes acceptance.
